京东国际开放平台Shopify商家结算规范
第一章 店铺费用及结算
1.1商家同意按照京东国际开放平台Shopify规则中显示的标准以及后续更新的标准或补充协议（若有）中确定的标准向京东支付下述费用：
Merchant shall pay JD the following fees in accordance with the“JD.HK” Shopify Open Platform and subsequent updates of the standards or the supplementary agreement (if any).
1.1.1平台使用费（免除至2023年3月31日）
Platform Service Fee (Will be waved until March 31, 2023)
1) 平台使用费按商家店铺相应服务期期间缴纳；
The Platform Service Fee shall be paid according to the corresponding shop service period of Merchant;
2) 商家店铺续展的，商家应在续展期开始日前缴纳续展期间平台使用费。
If Merchant renews the shop, it shall pay the Platform Service Fee for the renewal period before the start date of the renewal period.
1.1.2技术服务费
Sales Commissions
1) 商家通过京东国际开放平台完成的每一单交易应按照京东国际开放平台Shopify公示规则中显示的标准以及后续更新的标准或补充协议（若有）的约定向京东支付技术服务费；
Merchant shall pay JD the Sales Commissions for each transaction completed on the “JD.HK” Open Platform in accordance with the public link of “JD.HK” Open Platform – Shopify and subsequent updates of the standards or the supplementary agreement (if any);
2) 商家所涉及店铺申请经营的商品类目及对应的技术服务费率见京东国际开放平台Shopify公示中显示的标准及后续更新的标准或补充协议中（若有）中确定的标准；
The types of products sold by Merchant’s Shop and the applicable rates of Sales Commissions are prescribed in the public link of “JD.HK” Open Platform – Shopify and subsequent updates of the standards or the supplementary agreement (if any);
3) 商家在京东国际开放平台的交易及交易额以京东国际开放平台系统记录的数据为准，商家经营的类目以本协议或其他补充协议（若有）约定为准，商家经营的商品品牌以京东国际开放平台审核通过的为准；
Merchant’s transactions on the “JD.HK” Open Platform and the amount of transactions shall be subject to the records of “JD.HK” Open Platform System; types of the products Merchant sold are subject to this Agreement or other supplementary agreements (if any); and the brand of products sold by Merchant is subject to the approval of “JD.HK” Open Platform;
4) 技术服务费由京东国际开放平台通过系统自买家交付的货款中实时扣除。
The Sales Commissions shall be deducted from the payments by buyers on a real-time basis by “JD.HK” Open Platform via its system.
1.1.3其他费用Other Fees
本协议附件或双方补充协议（若有）约定的商家应向京东支付的其他费用，按照附件或补充协议（若有）的约定收取。
Other fees payable by Merchant to JD as agreed in the schedules hereto or the supplementary agreement (if any) between the Parties shall be paid in accordance with the schedules or the supplementary agreement (if any).
1.2双方按照下述约定对商家在京东国际开放平台完成交易的货款进行结算：
The Parties agree that the product payment of the transaction that Merchant completed on the “JD.HK” Open Platform shall be settled as follows:
1.2.1商家同意：买家通过京东国际开放平台与商家进行交易的，货款需支付至与京东国际开放平台合作的京东指定的第三方支付公司账户中或京东指定账户中；
Merchant agrees that: When buyers complete any transaction with Merchant via “JD.HK” Open Platform, the product payment shall be paid to the account of a third-party payment company designated by JD as a partner of “JD.HK” Open Platform or the account designated by JD;
1.2.2商家每自然月（以每个自然月为结算期，每个月1日为上月结算日）与京东进行对账并结算（结算订单为上月消费者确认收货的订单），京东国际开放平台系统在每自然月第一个自然日（结算日遇休息日或法定节假日的，顺延至休息日或法定节假日结束后的第一个工作日）自动生成结算单，商家确认无误后，京东向指定付款机构发出付款指令，由付款机构将扣除技术服务费及其他费用后的货款支付给商家；
Merchant settles the account (The settlement orders are the orders confirmed by the consumers during the previous month) with JD each calendar month (Each calendar month is taken as a settlement period, with the first day of each month being the settlement day for the previous month). “JD.HK” Open Platform system will automatically generate the settlement form on the first calendar day of each calendar month (or the immediately next working day if the settlement day falls on a non-working day or public holiday); after Merchant confirms the settlement form, JD shall issue a payment order to the designated payment agency, which shall pay Merchant the product payment after deducting the Sales Commissions and other relevant fees;
鉴于该种结算方式取决于与京东合作的第三方支付公司的持续稳定运作，商家同意提前向京东及第三方支付公司申请开通，经京东国际开放平台系统审核通过后，双方按此结算；同时，商家同意京东有权单方随时停止该种结算方式的操作。
As the aforesaid settlement method depends on the continuous and stable operation of the third-party payment company that partners with JD, Merchant agrees to apply to both JD and the third-party payment company in advance for using the settlement method, and the Parties may use the settlement method after it is approved by “JD.HK” Open Platform system; meanwhile, Merchant agrees that JD may terminate this settlement method anytime at it sole discretion.
1.2.3商家须向京东提供符合京东要求的对公的结算账户以便京东完成货款结算，若商家提供的结算账户信息变更，应提前3天通知京东，否则，因商家变更账户造成货款支付失败、迟延或错误，损失由商家自行承担。
Merchant shall provide JD the settlement account of the public in accordance with the requirements of JD, so that JD may complete the settlement of product price. Merchant shall give JD a 3 days prior notice of any change to its settlement account; otherwise, any losses arising from the failed, delayed or erroneous payment of the product price due to change of Merchant’s account shall be solely borne by Merchant.
1.2.4结算币种为【美元】；
All transactions conducted by the Parties under this Agreement shall be settled in USD.
结算汇率：结算单中货款及其相关费用包括但不限于运费等均采用用户下单当日通过第三方支付平台（目前京东国际开放平台仅支持网银支付和微信支付）获取当日的汇率为准。如与美金总金额合计有误差，由结算系统调平，正向结算汇差由京东承担。
Exchange rate: the exchange rate of product price and the relevant fees (including but not limited to freight) listed in the settlement form shall be subject to the current rate obtained by the third-party payment platform (currently only internet banking payment and WeChat Pay are available on the “JD.HK” Open Platform) on the date when the user places an order. If the calculated amount is different from the total USD amount, the settlement system will make reconciliation and any exchange loss so incurred shall be for the account of JD.
1.2.5.海外POP商家货款结算时，付款环节产生的手续费由双方共同承担，京东承担打款手续费，商家承担中间行（代理行）费用和收款行费用；由于商家账户信息有误等问题导致的货款被款项退回，如需二次结算，因此产生的手续费（包括但不限于中间行手续费及打款手续费等）由商家承担，京东按照实际收到的退回金额再次支付。
When the payment for overseas POP merchants is settled, the handling charges incurred in the payment process shall be borne by both parties. JD shall bear the handling charges, while Merchant shall bear the expenses of the intermediary bank (agent bank) and the receiving bank. If the payment for goods is returned due to errors in Merchant's account information and other issues, Merchant shall bear the handling charges (including but not limited to handling charges of intermediary bank and payment handling charges) incurred in the case of secondary settlement, and JD shall pay again according to the amount actually received.
1.2.6 当系统产生负向结算单（包括但不限于促销服务费用以及开店费用等），商家需向京东支付时，商家应按照协议约定的金额与京东进行对账并结算，保证足额汇款至京东指定账号（商家承担全额手续费包括但不限于打款手续费、中间行费用和收款手续费）；若京东实际收到金额小于协议约定金额，商家应在3个工作日内补足差额，否则京东有权在商家应结算货款金额中扣除。
when system produces negative statements (including but not limited to sales promotion service fee and set up shop cost, etc.), Merchant should be paid to JD, Merchant shall settle the account with JD according to the agreement to ensure full specified amount of the remittance to JD's designated account (full fees including but not limited to Merchant money handling charge fee), middle row expenses and receipts;If the amount actually received by JD is less than the amount agreed herein, Merchant shall make up the difference within 3 working days, failing which, JD shall have the right to deduct the difference from the amount to be settled by Merchant.
1.3 商家参与“京东白条”服务相关条款
Relevant terms of "Jingdong Baitiao(“京东白条”)" service
1.3.1商家开通京东白条服务的，用户可以使用京东白条在商家店铺内购买商品或服务。If Merchant opens Jingdong Baitiao service, customers may use Jingdong Baitiao to purchase goods or services in Merchant's store.
1.3.2在白条赊购服务模式中，商家作为白条赊购服务提供方，以赊销方式向用户出售商品或服务。商家同意将因此产生的对用户的债权，包括但不限于消费货款、分期服务费、日服务费、违约金等转让给京东国际开放平台。京东国际开放平台向商家一次性支付债权转让对价，转让对价与消费货款金额相等。京东国际开放平台完成债权转让费用的支付即视为债权转让完成。但因商品销售或服务提供引起的合同义务仍由商家承担。商家同意在债权转让完成后，用户为享受白条赊购服务的目的给予商家的所有授权也将一并转授权给京东国际开放平台。
In the Baitiao credit purchase service model, Merchant, as the Baitiao credit purchase service provider, sells goods or services to customers on credit. Merchant agrees to transfer the resulting claims on customers, including but not limited to consumer payment, installment service fees, daily service fees, liquidated damages, etc., to the “JD.HK” Open Platform. The “JD.HK” Open Platform pays merchants a one-time payment of credit transfer, and the transfer is equal to the amount of goods. The completion of the payment of the creditor's rights transfer fee on the “JD.HK” Open Platform shall be deemed as the completion of the creditor's rights transfer. However, Merchant still bears the contractual obligations arising from the sale of goods or the provision of services. Merchant agrees that after the creditor’s rights transfer is completed, all the authorizations given to Merchant by the customer for the purpose of enjoying the Baitiao credit purchase service will also be sub-authorized to the “JD.HK” Open Platform.
1.4京豆服务费用
1.4 Jingdong Beans Service Fee
1.4.1商家同意按照“京东国际开放平台”Shopify公示规则中显示的标准及后续更新的标准向“京东国际开放平台”支付京豆服务费用。
Merchant agrees to pay Jingdong Beans Service Fee to “JD.HK” Open Platform according to standards shown in JD-Shopify platform as may be subsequently updated.
1.4.2在下述情况下，“京东国际开放平台”通过京豆系统向商家提供相应服务，按商家在商家后台中设置的比例向用户发放京豆。
“JD.HK” Open Platform shall provide corresponding services to Merchant through Jingdong Bean System and shall distribute Jingdong Beans to Users in such proportion as set by Merchant in the merchant backstage system under the following circumstances.
A 用户在店铺购物、评价晒单完成时获得京豆的；
Users obtain Jingdong Beans after shopping in the store, making comments and sharing orders;
B 商家选择用户在完成店铺签到、收藏、转发或其他操作后获得京豆的。
Merchant’s selected users obtain Jingdong Beans after checking in, adding into favorites, forwarding, or completing other operations in the store.
1.4.3商家同意并自愿遵守京东国际开放平台根据平台运营情况所调整的用户获得京豆的情形、条件及其他相关信息，具体内容以京东国际开放平台规则为准。
Merchant agrees to voluntarily abide by the circumstances, conditions, and other relevant information for users to obtain Jingdong Beans that may be adjusted by “JD.HK” Open Platform according to the operation conditions of the platform. Details of such information shall be subject to“JD.HK” Open Platform Rules.
1.4.4商家在“京东国际开放平台”向用户发放的京豆数量及京豆兑换比例以“京东国际开放平台”记录的数据为准；京豆服务费用由“京东国际开放平台”依据发放数量及兑换比例计算，并通过系统自买家交付的货款中扣除。
Quantity and exchange ratio of Jingdong Beans distributed by Merchant on Jingdong Platform shall be subject to data recorded on Jingdong Platform.
1.5优惠权益工具
Preferential Benefit Instruments
1.5.1商家同意使用优惠权益工具在用户支付商家订单时使用，并自愿遵守京东国际开放平台针对上述优惠权益工具使用而设定的相关规则。
The merchant agrees to use the Preferential Benefit Instrument when the users are making payment of orders and to voluntarily comply with the rules of using the Preferential Benefit Instruments established by“JD.HK” Open Platform.
1.5.2商家同意用户有权选择任意一种或多种优惠权益工具，以在商家店铺中享受折扣优惠，用户可按优惠后金额支付订单款项。基于商家认可且接受各类优惠权益工具，为“京东国际开放平台”提供了品牌及优惠权益工具等的推广服务，“京东国际开放平台”将按照用户在商家店铺中使用优惠权益工具获取的优惠让利金额的一定比例向商家支付相关推广活动服务费用（具体比例以双方通过邮件等方式进行确认或通过京东系统设置）。如用户使用优惠权益工具的订单最终被取消，则商家需向“京东国际开放平台”退还京东国际开放平台已支付的推广服务费。
The merchant agrees that users are entitled to select one or several Preferential Benefit Instruments to obtain discounts in the merchant’s store and pay discounted price of the orders. As the merchant acknowledges and accepts the various Preferential Benefit Instruments and provides promotion service of the brand of “JD.HK” Open Platform and Preferential Benefit Instruments, “JD.HK” Open Platform will pay the merchant relevant promotion service fee at certain ratio (such ratio shall be determined by the parties through emails or other ways, or established through JD’s system) of the discount amount obtained by the users by using Preferential Benefit Instruments in the merchant’s store. In the event that the order, for which the user uses Preferential Benefit Instruments, is finally cancelled, the merchant shall refund the promotion service fee paid by “JD.HK” Open Platform.
1.5.3结算方式：“京东国际开放平台”系统在每个自然日对已完成订单相应款项自动生成结算单，付款机构在获得满足结算条件及商户结算请求指令时，由京东指定第三方支付机构结算技术服务费、京豆服务费及其他费用。
Settlement method:“JD.HK” Open Platform system will automatically generate a settlement statement for the corresponding amount of completed orders on each natural day; the payment institution, upon receiving the instructions on satisfaction of the settlement conditions and the merchant's settlement request, “JD.HK” Open Platform shall designate the third-party payment institution to settle the technical service fee, Jingdou service fee and other fees.
第二章 物流费用及结算
2.1 费用标准：双方约定以JD Marketplace插件签约文件的报价作为本协议里京东提供的服务的费用结算依据。
2.1 Rates: Merchant agrees to pay JD the rates and fees as detailed in the JD Marketplace APP Signed documents by Merchant.
2.2 费用调整：本协议中约定的费用，如果发生不受京东控制的成本上升情况（如由于任何政府部门、有关机关的要求或任何适用的法律发生变化引起)，京东有权根据商家经营情况及市场情况提前5日通知商家进行变更。若商家不同意变更的，应于京东变更通知后5日内向京东发出终止协议的书面通知，本协议自京东收到商家发出的书面终止通知之日起终止。
2.2 Rate change: If there is a rise in costs that is not within JD 's control (e.g. a change in any applicable laws or requirements of any government or a relevant authority causing a rise in fuel costs) , upon 5 days prior written notice to Merchant, JD may increase the Rates, If Merchant does not agree to the change, it shall give JD a written notice of termination the agreement within 5 days after JD gives the notice of change. This agreement shall terminate from the date JD receives the written notice of termination issued by Merchant.
2.3 跨境电商综合税等代缴费用：在海关等第三方对于商品征收费用后，由京东联系商家进行关税的缴纳。商家在京东系统当中确认后，由京东进行代缴服务，并与服务费用一同结算。
2.3 Cross-border e-commerce comprehensive tax: After the Customs levies tax, tariff or fee on the Goods, JD shall notify Merchant to pay the customs duties. After Merchant entrust JD to withhold these in JD Marketplace APP, JD shall perform payment service. The settlement period is according to clause 2.4.
2.4 结算方式Payment:
月结账扣：京东应向商家提供上一自然月（以每个自然月为结算期，每个月1日为上月结算日）实际发生的服务费和税费账单，商家应于京东提供账单之日起5个工作日内完成账单确认。商家若对账单持有异议，在自商家确认收到账单之日起5个工作日内通知京东，双方将在后续2个工作日内完成对账业务，除非商家有明确的证据证明京东的账单是错误的，否则以京东的账单为准。
完成账单确认之日后，若商家在京东关联公司处有应收货款的，京东将从商家应付京东及其关联公司的当月货款中扣除相应的服务费。如不存在前述货款，或前述货款余额不足，则商家应于确认账单后5日内按照账单金额向京东指定账户汇款。
Monthly settlement and deduction: JD shall provide Merchant with the service fee bill actually incurred in the previous calendar month (The settlement orders are the orders confirmed by the consumers during the previous month). Merchant shall complete the bill confirmation within 5 working days from the bill Receipt date. If Merchant raises an objection, Merchant shall notify JD within 5 working days and then complete the verification and confirmation with JD within 2 working days after the objection. Overdue feedback is considered as no objection.
Unless Merchant has clear evidence to prove that JD’s bill is incorrect, JD’s bill shall prevail. After both parties have confirmed the bill, JD shall deduct the liquidated damages due from any payable that Merchant or its affiliated companies shall pay to JD. If such payable is less than the amount of service fee or there are no payable that Merchant shall pay to JD or JD’s affiliated companies, Merchant shall remit payment to the account designated by JD according to the amount of the bill within 5 days after confirming the bill.
2.5 以上结算日遇休息日或法定节假日的，顺延至休息日或法定节假日结束后的第一个工作日。
2.5 In case the settlement day is a rest day or legal holiday, the settlement day shall be postponed to the first business day following such rest day or legal holiday.
2.6 京东须向商家提供符合商家要求的对公的结算账户以便商家完成货款结算，若京东提供的结算账户信息变更，应提前3天通知商家，否则，因京东变更账户造成货款支付失败、迟延或错误，损失由京东自行承担。
2.6 JD shall provide Merchant such corporate settlement account as satisfactory to Merchant so as to facilitate Merchant to complete goods payment settlement. In case of any change to the settlement account information provided by JD, JD shall give a three (3) days prior notice to Merchant. Otherwise, all losses arising out of goods payment transfer due to any change of Party’s account shall be borne by JD.
2.7 其他费用：商家同意，由于收付款产生的银行手续费由实际付款的一方承担。
2.7 Surcharges: Merchant agrees that in the course of business operation, the bank charges arising from the payment shall be borne by the actual paying party.
2.8 结算币种：本协议项下发生的所有费用，包括但不限于运费、仓储、关务、技术服务费等均以【美元】为币种计费。报价币种与结算币种不一致，统一按照业务发生月的第1日中国银行外汇牌价中间价折算后进行结算。
2.8 The settlement currency: Unless otherwise agreed, the expenses incurred under this Agreement include, but are not limited to, freight, warehousing, customs affairs, Delivery, technical service fees, etc., and are all settled in【USD】, If the quotation currency is inconsistent with the settlement currency, it should be uniformly settled according to the central parity of the Bank of China’s exchange rate on the 1st of each nature month.
2.9 商家有义务按照约定时间偿付所欠京东的费用，不得以理赔尚未结束为由拖延支付、拒绝支付或擅自从所欠服务费中直接扣除费用。若京东实际收到的费用金额小于根据本协议或补充协议（若有）确认的账单金额的，或商家未按期支付应付款项的，乙方应在接到甲方通知后3个工作日内补齐差额，否则甲方有权自乙方或乙方关联公司应当支付给京东的款项中直接抵扣，或从下个结算周期应结算的物流费中进行抵扣。
2.9 Merchant is obliged to repay fees payable to JD based on agreed time and may not delay or reject payment with an excuse of unfinished claim settlement or deduct relevant fees from overdue distribution price without authorization. If the actual amount of fees received by JD is less than the amount stipulated in the service fee bill according to the agreement or in the supplementary agreement (if any), If Merchant fails to pay the payable amount in time, Merchant shall make up the difference within 3 working days after receiving JD's notification, Otherwise , JD shall have the right to directly deduct the arrears from any payable that Merchant or its affiliated companies shall pay to JD or from the logistics services fee incurred in the next settlement period .
